Mutual Non-Disclosure Agreement (Draft)

This Confidentiality Agreement ("Agreement") is entered into between Medi Monster, Inc., a Washington corporation ("Company"), and the individual or entity accepting below ("Recipient"), effective on the date of acceptance.

1. Purpose

Recipient wishes to review confidential information of the Company solely to evaluate a possible investment in the Company (the "Purpose"). This Agreement does not obligate either party to proceed with any transaction.

2. Confidential Information

"Confidential Information" means all non-public information disclosed by the Company through this portal or otherwise, including business plans, financial information and projections, the funding terms, genetics and cultivation data, product formulations and roadmaps, research, methods, software, supplier and customer information, and any materials marked or reasonably understood to be confidential.

3. Obligations

Recipient will (a) hold Confidential Information in strict confidence, (b) use it only for the Purpose, (c) not disclose it to any third party without the Company's prior written consent, and (d) protect it with at least the same care it uses for its own confidential information and no less than reasonable care.

4. Exclusions

Confidential Information does not include information that is or becomes public through no fault of Recipient, was lawfully known to Recipient without obligation before disclosure, is independently developed without use of Confidential Information, or is lawfully received from a third party without restriction.

5. Trade Secrets & No Reverse Engineering

Recipient acknowledges that certain materials (including exact formulas and manufacturing methods, which are not included in this portal) are trade secrets, and agrees not to reverse engineer, replicate, or use any Confidential Information to compete with the Company.

6. No License; No Warranty

No license or ownership in any intellectual property is granted. All information is provided "as is," without warranty. Forward-looking statements are not guarantees.

7. Term & Return

The obligations in this Agreement continue for three (3) years from acceptance; obligations regarding trade secrets continue for as long as the information remains a trade secret. Upon the Company's request, Recipient will return or destroy Confidential Information.

8. Non-Interference

Recipient will not use Confidential Information to interfere with the Company's business, suppliers, employees, or other investors.

9. Governing Law

This Agreement is governed by the laws of the State of Washington, without regard to its conflict-of-laws rules.

10. Electronic Acceptance

By typing your full legal name and selecting "I agree" below, you acknowledge that you have read, understood, and agree to be bound by this Agreement, and that your electronic acceptance has the same effect as a handwritten signature.
